Terms of Service

These Terms of Service ("Terms") govern your use of Henji (the "Service"), operated by Appelier, a sole proprietorship ("we", "us", or "Operator"). By using the Service, you ("Customer" or "you") agree to these Terms.

1. Definitions

  • "Service" — the Henji desktop application (macOS), the Henji iOS app and the Henji Keyboard (keyboard extension), our landing page (https://henji.ai), the backend API, and related services.
  • "AI Features" — features that use large language models (LLMs) or similar AI to generate responses from your inputs.
  • "Inputs" — screenshots, text you explicitly capture or select in a text field, text instructions, agent configurations, and any other content you submit to the Service.
  • "Outputs" — the responses generated by the AI Features from your Inputs.
  • "Sub-Processors" — third parties we use to deliver the Service, including AI model providers, cloud hosts, and payment processors.

2. Description of the Service

The Service generates suggested reply text from the messages you receive, using AI. The Service provides suggestions only — final review, editing, and sending are your responsibility.

On macOS, the input is a screenshot taken on your device. Screenshots are processed locally on your device via on-device OCR (macOS Vision). Only the extracted text and your instructions are sent to the AI model providers to generate replies; the screenshot image itself is never sent to our servers or to the AI model providers.

On iOS, the input is text you explicitly capture (from the clipboard) or select in a text field. Transmission happens only when you tap "Generate reply" or "Proofread", and the Henji Keyboard never collects or transmits your keystrokes. See §2.5 of our Privacy Policy for details.

3. Account and License

  1. The Service issues a license tied to a device ID generated on your device. No explicit account registration is required.
  2. We grant you a non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.
  3. You may not transfer, sell, or sublicense your license or subscription to any third party.

4. Fees, Payment, and Trial

  • Personal plan (Pro): ¥980/month (tax inclusive) or ¥9,800/year (tax inclusive; about ¥816/month — 2 months free)
  • Team plan: ¥980/seat/month (tax inclusive) or ¥9,800/seat/year (tax inclusive; about ¥816/month — 2 months free). The Team plan is currently in preparation and will be announced separately when it launches.
  • These prices took effect on 27 July 2026. Customers who subscribed before that date are also moved to the new (lower) prices from their next billing date.
  • 7-day free trial (no credit card required)
  • Payment method (macOS): credit card, processed by Stripe
  • Payment method (iOS): in-app purchase through the App Store (StoreKit). Purchases, renewals, cancellations, and refunds are handled by Apple under its terms, and we never receive your payment method details. To cancel, go to Settings > Apple Account > Subscriptions on your iOS device
  • No charge will be made after the trial unless you explicitly start a paid subscription.
  • Except where required by applicable law, fees are non-refundable. Refunds for iOS in-app purchases are governed by Apple's refund policy and process.

5. Inputs and Outputs

  1. Ownership of Inputs: All rights in your Inputs remain yours (or those of the original rights-holder). You grant us a limited license to process, transmit, and temporarily handle your Inputs solely to deliver the Service.
  2. Outputs: To the extent permitted by applicable law, we assign to you all of our right, title, and interest in Outputs generated by the Service for you. You are free to use, share, and edit the Outputs at your own discretion and responsibility.
  3. Similar Outputs: Due to the nature of AI, the Service may produce identical or similar Outputs for other customers. We do not warrant that Outputs are unique to you or non-infringing with respect to Outputs delivered to others.
  4. Third-Party Rights: You represent that your use of Inputs and Outputs will not infringe any third party's intellectual property, privacy, or other rights.

6. Acceptable Use

You must not use the Service to:

  1. Violate any law, regulation, public order, or any third party's rights (including IP, privacy, or publicity rights).
  2. Generate high-volume requests through automation (bots, etc.) or otherwise place an undue burden on the Service.
  3. Reverse-engineer, decompile, or modify the Service, or use the Service to develop a competing AI product or service.
  4. Misrepresent AI-generated content as human-authored where such misrepresentation would mislead a reasonable person.
  5. Make high-stakes decisions (medical, legal, financial, employment, safety) based solely on Outputs without independent human review.
  6. Generate impersonation, harassment, hate, discrimination, sexually explicit content, content that exploits minors, or other harmful content.
  7. Generate or distribute malware, phishing, spam, or disinformation.
  8. Submit third-party personal or confidential information without that person's consent.
  9. Transfer, sell, or share your license keys or account credentials with third parties.
  10. Circumvent the Service's rate limits or security features.

We may suspend or terminate your access without prior notice if we determine you have violated these restrictions.

7. Accuracy and Reliability of AI Outputs

  1. Outputs are generated probabilistically by AI models and may contain factual errors, bias, mistranslations, inappropriate phrasing, or misunderstandings of context.
  2. Outputs are suggestions. You are solely responsible for any decision to use, send, or publish them.
  3. We do not warrant that Outputs are accurate, current, complete, or fit for any particular purpose.
  4. You will not rely on Outputs as medical, legal, financial, HR, or other professional advice.

8. Third-Party AI Providers (Sub-Processors)

We rely on Sub-Processors, including those listed below, to deliver AI Features. The current list is maintained in our Privacy Policy.

Sub-Processors may change from time to time; material changes will be reflected in the updated date on this page.

9. No Training on Your Data

We do not use your Inputs or Outputs to train or fine-tune our own AI models, nor those of any third party. We have also enabled the no-logging / no-training opt-outs offered by our AI model Sub-Processors. See our Privacy Policy for details.

10. Intellectual Property

All intellectual property in the Service software, landing page, documentation, logo, design, brand, and other content belongs to us or our licensors. Nothing in these Terms transfers any rights to you except as expressly licensed.

11. Privacy

Your information is handled in accordance with our Privacy Policy. By using the Service, you consent to that Privacy Policy.

12. Disclaimer and Limitation of Liability

  1. We are not liable for any damage caused by Service interruptions, data loss, network failures, or outages of third-party AI providers.
  2. The Service is provided "AS IS" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.
  3. To the extent we are liable, our aggregate liability is capped at the subscription fees paid by you to us in the one (1) month preceding the event giving rise to the claim. This cap does not apply to liability arising from our willful misconduct or gross negligence.

13. Changes to or Termination of the Service

We may modify or terminate all or part of the Service with prior notice. Material changes (such as pricing changes or feature removal) will be announced at least 30 days in advance, by email or in-app notice. However, pricing changes that are not detrimental to you — such as price reductions — may take effect without prior notice.

14. Changes to These Terms

We may revise these Terms from time to time. The "Last updated" date on this page reflects revisions; non-trivial changes will also be announced by email or in-app banner. Continued use of the Service after a revision constitutes acceptance of the revised Terms.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of Japan. Any dispute arising in connection with the Service is subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
